PLEASE READ THESE TERMS & CONDITIONS CAREFULLY. BY CHECKING THE ACCEPTANCE BOX AT SIGN-UP AND ACCESSING OR USING INVOICEFLOW, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

1. Introduction and Acceptance

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and InvoiceFlow ("InvoiceFlow", "we", "us", "our"), governing your access to and use of the InvoiceFlow platform, website, and related services (collectively, the "Service").

By ticking the acceptance checkbox at sign-up, you confirm that:

  • You have read, understood, and agree to be bound by these Terms in their entirety
  • You are at least 18 years of age
  • You are a resident or registered business in Singapore
  • Where you are registering on behalf of a business, you have the authority to bind that business to these Terms

2. Eligibility and Geographic Scope

InvoiceFlow is intended for use by individuals and businesses based in Singapore only. By using the Service, you represent and warrant that:

  • You are a Singapore resident, sole proprietor, freelancer, SME contractor, or agency operating in Singapore
  • You are using the Service for lawful business purposes in accordance with Singapore law

InvoiceFlow reserves the right to restrict or terminate access for users who do not meet these eligibility requirements.

3. User Accounts

3.1 Account Registration

  • To use InvoiceFlow, you must register for an account by providing accurate, complete, and current information
  • Each account is for a single user only. You may not share your account credentials with any other person
  • You may not create more than one account per person or business entity without prior written consent from InvoiceFlow
  • You must keep your registration information accurate and up to date at all times

3.2 Account Security

  • You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account
  • You must notify InvoiceFlow immediately at support@invoice-flowai.com if you suspect any unauthorised access to or use of your account
  • InvoiceFlow will not be liable for any loss or damage arising from your failure to maintain account security

4. Subscription Plans and Payment

InvoiceFlow offers the following subscription tiers:

  • Free Plan — available to all users upon sign-up at no cost, with limited features
  • Pro Plan — SGD $35/month, billed monthly
  • Business Plan — SGD $50/month, billed monthly

All prices are in Singapore Dollars (SGD). InvoiceFlow is not currently GST-registered; no GST is charged on subscription fees at this time. Subscriptions are billed monthly and renew automatically unless cancelled. By purchasing a subscription, you authorise InvoiceFlow to charge your payment method on a recurring basis. InvoiceFlow reserves the right to modify pricing with at least 30 days' notice to existing subscribers.

5. Refund & Cancellation Policy

5.1 No Refund Policy

All subscription fees paid to InvoiceFlow are non-refundable. This applies to:

  • Monthly subscription charges already billed and processed
  • Partial months — no pro-rated refunds are issued for unused days within a billing period
  • Plan downgrades mid-cycle — no refund will be issued for the remaining period of the higher-tier plan
  • Cancellations — cancelling your subscription does not entitle you to a refund for the current billing period

Exception: InvoiceFlow may, at its sole discretion, consider refund requests in exceptional circumstances such as duplicate charges or technical errors resulting in an incorrect payment. To raise such a request, contact support@invoice-flowai.com within 7 days of the charge.

5.2 Cancellation

  • You may cancel your paid subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period. You will retain full access to paid features until that date
  • After the billing period ends, your account will automatically revert to the Free plan
  • If you experience difficulty cancelling, contact support@invoice-flowai.com and we will process your request within 3 business days

5.3 Data After Cancellation

  • Upon cancellation, your account reverts to the Free plan. All documents and data created during your paid subscription remain accessible on your Free account indefinitely
  • Certain paid features will no longer be accessible after downgrade
  • If you permanently delete your account, all data will be removed in accordance with our Data Protection Policy
  • Nothing in this section limits or excludes any rights you may have under the Consumer Protection (Fair Trading) Act (Cap. 52A) of Singapore

6. Acceptable Use

6.1 Permitted Use

Subject to these Terms, InvoiceFlow grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your own lawful business purposes in Singapore.

Permitted uses include:

  • Generating invoices, quotations, and commercial documents for genuine business transactions
  • Using AI-assisted features to draft and format documents for your own business use
  • Uploading your business assets such as logos and templates to personalise your documents

6.2 Prohibited Use

The following are strictly prohibited. Violations may result in immediate account termination and reporting to relevant Singapore authorities:

  • Generating invoices or documents that are false, fictitious, backdated, or otherwise misleading
  • Facilitating tax evasion, including generating documents that misstate GST amounts or falsify taxable transactions
  • Money laundering, bribery, corruption, or any other financial crime under Singapore law
  • Impersonating any individual, business, or entity, or using a business name or UEN you are not authorised to use
  • Attempting to gain unauthorised access to the platform, its infrastructure, or other users' accounts
  • Introducing malware, viruses, or any malicious code into the platform
  • Reverse engineering or attempting to extract the source code or underlying technology of the platform
  • Reselling, sublicensing, or commercialising any part of the Service without prior written consent
  • Uploading content that infringes any third-party intellectual property rights
  • Entering third-party personal data into the platform without a lawful basis to do so under the PDPA

6.3 Enforcement

Our enforcement approach is tiered based on severity:

  • Minor violations — written warning, required remedy, and/or temporary feature restriction
  • Serious violations — immediate account suspension or permanent termination without notice or refund, preservation and disclosure of relevant data to Singapore law enforcement, IRAS, or the PDPC as required, and pursuit of civil or criminal remedies under Singapore law

Note: InvoiceFlow has zero tolerance for fraudulent invoice generation, tax evasion, and impersonation. These constitute criminal offences under Singapore law, including under the Penal Code 1871, the Goods and Services Tax Act (Cap. 117A), and the Computer Misuse Act (Cap. 50A). InvoiceFlow will not hesitate to report such activity to the relevant authorities.

7. AI-Generated Content and User Responsibility

InvoiceFlow uses artificial intelligence technology to assist in generating document content. You acknowledge and agree that:

  • AI-generated content is provided as a drafting aid only and may contain errors, inaccuracies, or inappropriate outputs
  • You are solely responsible for reviewing, correcting, and approving all generated content before sending any document to a client or using it for any legal or commercial purpose
  • InvoiceFlow does not warrant that GST calculations or any other figures generated by the platform are accurate or compliant with applicable law
  • InvoiceFlow is a document generation tool and does not provide accounting, tax, or legal advice
  • Data submitted through AI-powered features may be processed by third-party AI service providers engaged by InvoiceFlow. We do not disclose the identity of these providers. They are contractually bound to handle data securely and are not permitted to use submitted data to train their models

8. Disclaimer & Limitation of Liability

8.1 General Disclaimer

The Service is provided on an "as is" and "as available" basis without warranty of any kind, express or implied. InvoiceFlow makes no representations or warranties regarding the completeness, accuracy, reliability, or suitability of the Service or any documents produced through it.

8.2 GST Calculations

GST calculations generated by InvoiceFlow are indicative only. You are solely responsible for verifying all GST figures on your invoices comply with the Goods and Services Tax Act (Cap. 117A) and applicable IRAS guidelines before issuing any document. InvoiceFlow shall not be liable for any tax penalties, fines, or assessments arising from errors in GST calculations.

8.3 No Professional Advice

Nothing on the InvoiceFlow platform constitutes accounting, tax, legal, or any other professional advice. You should always seek independent professional advice from a qualified accountant, lawyer, or relevant professional for matters specific to your business.

8.4 Platform Availability

InvoiceFlow does not guarantee uninterrupted or error-free access to the Service. The platform may be subject to scheduled or unscheduled maintenance, third-party infrastructure interruptions, or force majeure events. InvoiceFlow shall not be liable for any loss arising from inability to access the Service.

8.5 Limitation of Liability

To the fullest extent permitted by applicable Singapore law, InvoiceFlow, its directors, officers, employees, agents, licensors, and service providers expressly exclude all liability for any direct, indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, business, contracts, or goodwill; tax penalties or fines arising from errors in GST or other calculations; losses arising from reliance on AI-generated documents; and losses arising from platform downtime or data loss.

Note: Certain rights under the Consumer Protection (Fair Trading) Act (Cap. 52A) and other applicable Singapore legislation cannot be excluded or limited by contract. Nothing in these Terms is intended to exclude or limit InvoiceFlow's liability where it would be unlawful to do so.

9. Intellectual Property

9.1 InvoiceFlow Platform

All rights, title, and interest in and to the InvoiceFlow platform, including its software, design, algorithms, AI technology, trademarks, branding, and underlying technology, are and remain the exclusive property of InvoiceFlow. Nothing in these Terms transfers any ownership rights in the platform to you.

9.2 User-Generated Documents

You own all invoices, quotations, and commercial documents you generate through InvoiceFlow. InvoiceFlow makes no claim to ownership of your generated documents.

9.3 User-Uploaded Content

You retain full ownership of any content you upload to InvoiceFlow, including logos and document templates. By uploading content, you confirm you have the right to use it and grant InvoiceFlow permission to process it solely to deliver the Service to you.

9.4 Client Data Entered by Users

When you enter your clients' personal data into InvoiceFlow for document generation, you act as the data controller and InvoiceFlow acts solely as a data processor on your behalf. You are responsible for ensuring you have the legal basis to provide your clients' data to InvoiceFlow for this purpose.

10. Service Modifications and Availability

InvoiceFlow reserves the right, at any time and without prior notice, to modify, update, or discontinue any feature or aspect of the Service; change features available on any subscription tier; temporarily suspend access for maintenance; or permanently discontinue the Service with reasonable notice. Where a material change to paid plan features is made, InvoiceFlow will provide reasonable advance notice via email.

11. Termination and Suspension

11.1 Termination by You

You may close your account at any time through your account settings. Account closure cancels any active paid subscription in accordance with Section 5.

11.2 Termination by InvoiceFlow

InvoiceFlow may immediately suspend or terminate your account without liability if you breach any provision of these Terms; we reasonably suspect fraudulent, abusive, or illegal activity; payment cannot be processed; or we are required to do so by law or a regulatory authority. No refund will be issued upon termination for breach.

12. Data Protection

InvoiceFlow collects and processes personal data in accordance with the Personal Data Protection Act 2012 (Cap. 26F) of Singapore. Full details of how we collect, use, disclose, and protect your personal data are set out in our Data Protection Policy, which is accessible on our website and incorporated into these Terms by reference.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Singapore courts. Before initiating formal proceedings, both parties agree to attempt resolution in good faith through direct negotiation for at least 30 days.

14. Changes to These Terms

InvoiceFlow reserves the right to update, modify, or replace these Terms at any time and at our sole discretion. Changes will take effect immediately upon publication on our website unless otherwise stated. Where we consider a change material, we will endeavour to notify registered users via email or in-platform notification as a courtesy. However, it is your responsibility to review these Terms periodically. The "Last Reviewed" date at the top of this page will reflect when the Terms were last updated. Your continued use of InvoiceFlow following any changes constitutes your acceptance of the revised Terms. If you do not agree, you must discontinue use and may close your account.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and InvoiceFlow regarding the Service and supersede all prior agreements or understandings
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force and effect
  • No Waiver: InvoiceFlow's failure to enforce any right or provision does not constitute a waiver
  • Assignment: You may not assign your rights or obligations under these Terms without InvoiceFlow's prior written consent. InvoiceFlow may assign its rights and obligations without restriction
